Derivative Intellectual Property. All Intellectual Property made, invented, developed, created, conceived, or reduced to practice by either Party in connection with the performance of this Agreement, including all rights in any patents or patent applications, copyrights, trade secrets, and other Intellectual Property rights relating thereto, to the extent it constitutes an improvement upon any Background Intellectual Property or Confidential Information of a Party or its Affiliate.
