DERIVATIVE SECURITIES ISSUER. Shall mean (a) the Stockholder, (b) any of affiliate of the Stockholder, or (c) any financial institution issuing Derivative Securities for the benefit of the Stockholder or any of its affiliates in a transaction in which the net proceeds of such Derivative Securities will be received by the Stockholder or an affiliate of the Stockholder.
