Designated MSCP Shares
Designated MSCP Shares. Means, as of any date, the number of shares equal to the lesser of (i) the Total MSCP Shares as of such date and (ii) 117,565 shares of Common Stock, in each case subject to adjustment as provided in Section 12 hereof.
