Designated Senior Debt. Means the Company's obligations under any particular Senior Debt for borrowed money in either an original amount of at least three million U.S. dollars ($3,000,000) or pursuant to a line of credit of at least three million U.S. dollars ($3,000,000) in which the instrument creating or evidencing the same or the assumption or guarantee thereof (or related agreements or documents to which the Company is a party) expressly provides that such Senior Debt shall be "Designated Senior Debt" for... purposes of this Note (provided that such instrument, agreement or other document may place limitations and conditions on the right of such Senior Debt to exercise the rights of the Designated Senior Debt). Designated Senior Debt. Shall mean (1) any Indebtedness outstanding under the Senior Credit Facility, (2) any Indebtedness under the Senior Subordinated Debt, and (3) after payment in full of all Senior Obligations under the Senior Credit Facility and the Senior Subordinated Debt, any other Senior Debt permitted under the Indenture the outstanding principal amount of which is $25 million or more and that has been designated by Payor as "Designated Senior Debt".
Designated Senior Debt. Designated Senior Debt. Means either (a) the Senior Debt under the Credit Agreement or (b) if the Senior Debt under the Credit Agreement has been paid in full in cash, the Senior Debt in respect of the Senior Notes.
Designated Senior Debt. (i) any Senior Debt of the Guarantor that, at the date of determination, has an aggregate principal amount outstanding of, or under which, at the date of determination, the holders thereof are committed to lend up to, at least $100,000,000 and (ii) any other Senior Debt of the Guarantor designated by the Guarantor at the time of issuance thereof as Designated Senior Debt for purposes of this Guaranty.
