Developments. Any and all improvements and modifications relating to or derived from the Technology, whether patentable or not, made during the Term of this Agreement including, without limitation, any process, method, technique, know-how, machine, equipment or other device or component or modification thereof, which perform or enable the performance of the same or similar functions as the Technology for the manufacture, use, sale, or other disposal of the Product.

Developments. Any idea, invention, process, design, concept, or useful article (whether the design is ornamental or otherwise), formula, documentation, study, test, literary work, audiovisual work and any other work of authorship, hereafter expressed, made or conceived in the scope of the Services or under this Agreement and solely or jointly by Contractor during Contractor's engagement whether or not subject to patent, copyright or other forms of protection.

Employee further acknowledges that all Developments made by Employee (solely or jointly with others) within the scope of and during Employee's employment with or provision of services to the Company Group are "works made for hire" (to the greatest extent permitted by applicable law) for which Employee is, in part, compensated by Employee's base salary, unless regulated otherwise by law, but that, in the event any such Development is deemed not to be a work made for hire, Employee hereby assigns to FOA, or its designee, all Employee's right, title, and interest throughout the world in and to any such Development.
