Diluted EPS

Diluted EPS. Shall mean Net Income from continuing operations, excluding one-time and extraordinary events, as set forth in the Company's audited financial statements filed with the SEC divided by the number of shares of Common Stock outstanding as of the end of the applicable fiscal year on a Fully Diluted Basis.

Diluted EPS. And "Net Income" shall mean the Company's Diluted EPS and the Company's Net Income for a particular year as customarily reported in the company's financial statements in accordance with generally acceptable accounting principles.
