DIP. The Debtor In Possession Credit Agreement, dated as of April 1, 2002, by and among Covanta, each of Covanta's U.S. subsidiaries listed on the signature pages to such agreement, the financial institutions listed on the signature pages to such agreement, Deutsche Bank AG, New York Branch and Bank of America, N.A., as the same may be amended and in effect from time to time.
