Direct Listing. The direct listing of the Company's securities on a national securities exchange
Direct Listing. The Company's initial listing of its Common Stock on a national securities exchange by means of an effective registration statement on Form S-1 filed by the Company with the Securities and Exchange Commission. For the avoidance of doubt, a Direct Listing shall not be deemed to be an underwritten public offering of the Company's Common Stock registered under the Act. Any and all mentions of an underwritten offering or underwriters contained herein shall not apply to a Direct Listing
Direct Listing. The same meaning as in the Restated Certificate
Direct Listing. The term "Direct Listing" means the registration of the Company's securities under the 1934 Act, in connection with a listing of the Company's Common Stock for trading on the Nasdaq Stock Market, the New York Stock Exchange or another exchange or marketplace approved by the Board.
Direct Listing. The registration, qualification, authorization, offering and sale to the public by certain of the Company's stockholders (collectively, the 'Registered Stockholders') of shares of the Company's Class A Common Stock held by the Registered Stockholders in a direct listing.
