Director

Director. Means a member of the Company's Board of Directors. Exhibit 10.6 - Page 1

Director. For purposes of this Plan, an individual who is a member of the Board and who receives a cash retainer and meeting fees in connection with the performance of services as a member of the Board.

Director. Is a person, other than an Inside Director, duly serving, on or after January 1, 2011, as a Director of the Company pursuant to the applicable provisions of the by-laws of the Company. No person shall be considered to be a Director at any time for purposes of this Plan when such person is also an Inside Director.

Director. Means a member of the Board who is neither an officer nor an employee of the Company. A director of the Company shall not be deemed to be an employee of the Company solely by reason of the existence of a consulting contract between such director and the Company or any subsidiary thereof pursuant to which the director agrees to provide consulting services as an independent consultant to the Company or its subsidiaries on a regular or occasional basis for a stated consideration. Director. Shall mean any person serving as a member of the Board.
