Director's Fees. The annual cash retainer for Board and committee service, special assignment fees, meeting fees, Committee Chair or Presiding Director fees, and other amounts payable to a Participant for services to the Company as an Independent Director. Director's Fees do not include awards granted to a Participant under The Clorox Company 2005 Stock Incentive Plan (or any successor stock incentive plan approved by the stockholders of the Company)
