Disability; Disabled. "Disability" or "Disabled" means that, as a result of the Executive's incapacity due to physical or mental illness, the Executive shall be eligible for the receipt of benefits under the Company's long term disability plan.

Disability; Disabled. "Disability" or "Disabled" means that a Participant is, by reason of any medically determinable physical or mental impairment, which can be expected to result in death or can be expected to last for a continuous period of not less than twelve (12) months: (a) unable to engage in any substantial gainful activity, or 20 (b) receiving income replacement benefits for a period of not less than 3 months under any accident and health plan covering Employees.

The determination of such physician or psychiatrist (as the case may be) shall be binding on and non-appealable by the Parties. Any refusal or failure of Executive to submit to such a physical or psychological examination shall, for purposes of this Agreement, constitute Executive's admission that he is Disabled.
