DISADVANTAGEOUS CONDITION
DISADVANTAGEOUS CONDITION. Shall mean the existence of a condition such that the preparation or filing of a registration statement would (i) have a material adverse effect on the business, properties or financial condition of ISG or otherwise materially impair the ability of ISG to conduct its affairs or (ii) require disclosure of non-public material information that ISG has a bona fide business purpose for preserving as confidential.
