Discount Exchange Securities

Discount Exchange Securities. Shall mean notes issued by the Company under the Indenture containing terms identical to the Discount Notes (except that the Discount Exchange Securities will not be subject to restrictions on transfer or to any increase in annual interest rate for failure to comply with this Agreement), and to be offered to Holders of Discount Notes in exchange for Discount Notes pursuant to the Exchange Offer.
