Disqualifying Termination. A termination of a Participant's employment with the Company or an Affiliate due to (i) a material violation of any policy of the Company or such Affiliate, including, without limitation, any of the Company's Business Conduct Policies, or (ii) embezzlement from or theft of property belonging to the Company or such Affiliate.

Disqualifying Termination. Means a termination of Executive's employment (i) by the Company for Cause or (ii) by Executive for any reason prior to May 21, 2026. For the avoidance of doubt, neither Executive's resignation due to his Disability nor a termination of Executive's employment due to his death will be a Disqualifying Termination.
