Dissenting Shares

Dissenting Shares. Means shares of ARACOR Common Stock which are issued and outstanding immediately prior to the Closing and which are held by a holder who did not vote such shares in favor of the Merger and who has complied with all of the relevant provisions of Section 1300 et seq. of the CGCL.
