Dividend

Dividend. A dividend declared and paid on Shares subject to an Award.

Dividend. 3. Dividends and Redemptions. Clause (E) of Section 9.11(c) (i) is hereby deleted in its entirety and the following substituted therefor: 4. "(E) the aggregate amount of all payments for such repurchases during the term of this Agreement shall not exceed $11,000,000."

Dividend. Dividend Equivalent means an amount of cash equal to all dividends and other distributions (or the economic equivalent thereof) that are payable by the Company on one share of Common Stock to stockholders of record, which, in the discretion of the Committee, may be awarded (a) in connection with any Award under the Plan while such Award is outstanding or otherwise subject to a Restriction Period and on a like number of shares of Common Stock under such Award or (b) singly.
