Downgrade Event. Means Georgia-Pacific's Debt Rating shall be withdrawn or shall fall below (i) "BBB-" (but not below "BB+") by S&P and "Baa3" (but not below "Bal") by Moody's or (ii) "BB+" by S&P or "Bal" by Moody's.
