DSA Factor

DSA Factor. Means the percentage (calculated to five decimal points) determined by dividing the number of Subject Shares by the sum of all outstanding shares of the capital stock of Company immediately prior to the Closing under the Merger Agreement plus all shares of the capital stock of Company then issuable upon the conversion of any convertible securities or the exercise of any options or warrants.
