The occurrence of earliest to occur of (i) an event described in Section 4.2(c) of the Securities Purchase Agreement or (ii) any breach by the Company of any representation, warranty or covenant contained in the Bridge Financing Documents that is not cured within thirty (30) days of the Company being notified of such breach
