Early Termination Close Out Amount. If this Agreement is terminated effective prior to December 31, 2020 under circumstances where Section 26.6 provides that the MCA or the ACA shall be payable, TCS shall invoice Nielsen in one consolidated invoice for (A) the Unpaid Invoices Balance, (B) the Unbilled Services Balance, and (C) the Early Termination Shortfall (the sum of such amounts, the "Early Termination Close Out Amount").
