EARNINGS TARGET

EARNINGS TARGET. The Operating Earnings Bonus shall be based upon the targeted, pre-bonus, pre-tax earnings of the Company as approved by the Board at the beginning of the calendar year and as set forth in the Company's business or operating plan for such year prepared in the ordinary course of business, exclusive of extraordinary or nonrecurring items (as defined and approved by the Board) (the "EARNINGS TARGET").
