Example Definitions of "EBITDA Factor"
EBITDA Factor. Shall mean the Business' 2002 EBITDA divided by the sum of (a) the Business' 2002 EBITDA and (b) (i) Newco's EBITDA for the year ended December 31, 2002 minus (ii) the Business' 2002 EBITDA after the Closing Date.
