EBITDAHFS. For any period, the sum of Consolidated Net Income-HFS for such period plus (a) the following expenses or charges to the extent deducted from Consolidated Net Income in such period: interest, income taxes, depreciation, depletion, amortization and all other non-cash charges and (b) minus (i) all non-cash income and (ii) all income of EagleHawk, each of (i) and (ii) to the extent included in Consolidated Net Income-HFS.
