Effective Date of Termination

Effective Date of Termination. The date on which a termination of the Executive's employment occurs as specified in the Notice of Termination. For purposes of this Agreement, references to a "termination of employment" or any form thereof shall mean a "separation from service" as defined under Section 409A of United States Internal Revenue Code of 1986, as amended from time to time.

Effective Date of Termination. (i) in the case of termination due to death, the date of the Executive's death, or (ii) in the case of any other termination, the date of Executive's separation from service within the meaning of Section 409A(a)(2)(A)(i) of the Code, and the rules and regulations adopted pursuant thereto, from the Company and its subsidiaries or affiliates specified in the written notice specified in Section 6 and 9(c).

Effective Date of Termination. Means the date on which a Qualifying Termination occurs which triggers the payment of Severance Benefits hereunder.
