Eligible Grantee

Eligible Grantee. Any Employee, Non-Employee Director, or Consultant, and any prospective Employee and Consultant who has accepted an offer of employment or consultancy from the Company or any Affiliate, in each case, only to the extent eligible to receive an award under the Plan in accordance with NASDAQ Listing Rule 5635(c)(3) and the applicable guidance issued thereunder.
