Eligible Investor

Eligible Investor. Means (a) an Investor who or which, together with its Affiliates, at the time in question, hold(s) at least two percent (2%) of the aggregate shares of Series C Preferred and Series C-1 Preferred (subject to appropriate and proportionate adjustments for stock dividends, stock splits and other subdivisions and combinations of, and capitalizations and like occurrences with respect to, the Series C Preferred and/or Series C-1 Preferred, as applicable), or (b) an Investor who or which, together... with its Affiliates, at the time in question, hold(s) all of the shares of Series C Preferred and Series C-1 Preferred originally purchased by such Investor directly from the Company (subject to appropriate and proportionate adjustments for stock dividends, stock splits and other subdivisions and combinations of, and capitalizations and like occurrences with respect to, the Series C Preferred and/or Series C-1 Preferred, as applicable).
