Enabling Intellectual Property. Means any Intellectual Property Controlled by Redpoint (a) necessary for using the *** to be developed hereunder and (b) created, conceived, developed, acquired, licensed in or reduced to practice (i) prior to the Effective Date or (ii) outside the Collaboration.
