EPS. For a fiscal year, the Company's diluted earnings per share of Common Stock, as set forth in the Company's Annual Report on Form 10-K for such fiscal year as filed with the Securities and Exchange Commission. If the Company repurchases any outstanding shares during the Performance Period, the EPS calculation will exclude the impact of the share repurchases made.
