EQUITY INFUSION. Means the sale by the Company of up to $2.5 million of its common stock to an investor group led by Edward F. Calesa pursuant to that certain Common Stock Purchase Agreement dated as of May 12, 2003 among the Company and the Investors listed on the Schedule of Investors attached thereto.
