Equity Market Capitalization

Equity Market Capitalization. As of any Determination Date, shall mean the product of (i) the average of the Closing Prices Per Share of the Common Stock for the twenty (20) consecutive Trading Days immediately preceding but excluding such Determination Date, multiplied by (ii) the number of shares of Common Stock issued and outstanding as of such Determination Date.
