Escrowed Payment. $500,000 to be held back from the payment of a Secured Promissory Note (the "Note") in the amount of $1,650,000 made out by the Company in favor of the Company Stockholders, a form of which is attached hereto as Exhibit A; the amount of the Escrowed Payment shall decrease at the rate of twenty-five percent (25%) every ninety (90) days, commencing on the date hereof and on each ninetieth (90th) day thereafter
