Example Definitions of "Excess Adjusted EBITDA"
Excess Adjusted EBITDA. Means, for any Plan Year, the sum of (a) an amount equal to the product of (i) the amount by which the Actual Adjusted EBITDA for the applicable Plan Year exceeds the Adjusted EBITDA Tier I Threshold for the applicable Plan Year (but in no event shall such amount be less than $0), multiplied by (ii) 15%, plus (b) an amount equal to the product of (i) the amount by which the Actual Adjusted EBITDA for the applicable Plan Year exceeds the Adjusted EBITDA Tier II Threshold for the applicable Plan... Year (but in no event shall such amount be less than $0), multiplied by (ii) 15%.
