Excess Dilution Number. Shall mean, with respect to any issuance or adjustment, a number of shares of Common Stock that is equal to the increase in the aggregate number of shares of Common Stock issuable upon exercise of the Outstanding Warrants and the Lender Warrants attributable to anti-dilution 2 adjustments thereto in connection with any changes in the exercise price or conversion rate or ratio of this Warrant, the Lender Warrants or the Outstanding Warrants.
