Exchange Number

Exchange Number. Means (a) with respect to any Exchange Date (other than as set forth in SECTION 1.14(A)(IV)), one-third of the total number of Class B Shares issued to and owned by TalMan on the Closing Date, as adjusted to reflect any recapitalization, reclassification, stock split, stock dividend or other similar transaction and (b) with respect to any Exchange Date described in SECTION 1.14(A)(IV), the product of (i) the product of the number of Exchange Dates that would otherwise occur (but... for SECTION 2.2(B)) on or after the Change-in-Control Date and (ii) one-third of the total number of Class B Shares issued to and owned by TalMan on the Closing Date, as adjusted to reflect any recapitalization, reclassification, stock split, stock dividend or other similar transaction.
