Exchange Request

Exchange Request. Means the irrevocable instruction by the Pledgor to DSW, dated August 16, 2006, to exchange DSW Class B Common Shares for DSW Class A Common Shares pursuant to the provisions therein, such Exchange Request having been made pursuant to the Exchange Agreement, dated as of July 5, 2005, by and between the Pledgor and DSW.
