The Company's 13% Senior Subordinated Discount Notes due 2009 to be issued pursuant to the Indenture (i) in the Exchange Offer or (ii) upon the request of any Holder of the Senior Subordinated Notes covered by a Shelf Registration Statement, in exchange for such Senior Subordinated Notes.
