Exchange Shares

Exchange Shares. Shares of Common Stock issued or issuable in exchange for principal and interest under the Note.

Exchange Shares. The shares of Holding Company Common Stock to be issued to the Minority Stockholders in connection with the Mid-Tier Holding Company Merger.

Exchange Shares. Is defined in the recitals to this Agreement.

Exchange Shares. The meaning ascribed to such term in the Securities Purchase Agreement

Exchange Shares. Has the meaning set forth in the Preamble hereof.

Exchange Shares. Means shares of Series A Preferred Stock and Series B Preferred Stock issued to JUV in exchange for the Outstanding Amount of Exchange Loans as provided in subparagraphs (i) through (iii) of paragraph (a) of Section 2.

Exchange Shares. The shares of Holding Company Common Stock to be issued to the Public Shareholders in connection with the Association Merger.

Exchange Shares. The meaning set forth in Recital B of this Agreement

Exchange Shares. The shares of Special Junior Preferred Stock issued pursuant to the Exchange Agreement (including pursuant to the Earn Out Schedule attached as Appendix A to the Exchange Agreement) and the shares of Special Junior Preferred Stock issued pursuant to the Consulting Agreement and any shares issued in connection with a transfer of such shares pursuant to the terms of this Agreement, the Exchange Agreement and the Consulting Agreement

Exchange Shares. Any shares of Series A Preferred Stock issued upon exchange of the Shares by Investor as provided in the Investor Rights Agreement
