Exchange

Exchange. Means, collectively, the exchange of all of the outstanding PAPI Shares, and the exchange of all of the outstanding shares of capital stock of PAMT and PAPT that are not held by PAPI, for the Acquiror Ordinary Shares contemplated by Section 2 below.

Exchange. Each exchange or quotation system specified as such for the Underlying Shares in the relevant Confirmation or any successor to such exchange or quotation system, provided, however, that if the specified Exchange ceases to list or otherwise include the Underlying Shares, the parties will negotiate in good faith to agree on another exchange or quotation system (if any) in relation to the Underlying Shares.

Exchange. Has the meaning set forth in the recitals to this Agreement.

Exchange. Is defined in the recitals to this Agreement.

Exchange. Shall have the meaning set forth in the recitals hereto.

Exchange. Any of the Nasdaq Stock Market, the New York Stock Exchange or another national securities exchange (as defined under then-applicable United States federal securities laws and regulations) or marketplace approved by the Board or an internationally-recognized stock/securities exchange approved by the Board. -3-

Exchange. Means the exchange of the Surrendered Shares for the Exchanged Shares, as contemplated by this Agreement.

Exchange. Has the meaning set forth in the Convertible Note Purchase and Exchange Agreement.

Exchange. Means the exchange of the Series A Preferred Stock for shares of Common Stock in accordance with the terms of the Certificate of Designations.

Exchange. Means that all outstanding principal of and interest (and other amounts) accrued on this Note have been exchanged for the securities issued in a New Offering on a dollar-for-dollar basis and otherwise with the same terms granted to other purchasers in the New Offering.
