Excluded Works

Excluded Works. Means (a) those software programs developed by Saflink as of the Effective Date that do not contain any part of the Works, and (b) MiValet, except as to that portion thereof also contained in the Works as of the Effective Date, with the understanding that IdentiPHI shall non-exclusively license same back to Saflink as set forth hereinafter.

Excluded Works. Any Work or Invention created in whole or in part by Employee, (i) existing prior to Employee's employment with the Company; or (ii) for which no equipment, supplies, facility or Trade Secret information of the Company was used and that was developed entirely on Employee's own time, and (1) that does not relate (a) directly to the business of the Company or (b) to the actual or demonstrably anticipated research or development of the Company, or (2) that does not result from any work performed... by Employee for the Company.
