Example Definitions of "Excluded Works"
Excluded Works. Any Work or Invention created in whole or in part by Employee, (i) existing prior to Employee's employment with the Company; or (ii) for which no equipment, supplies, facility or Trade Secret information of the Company was used and that was developed entirely on Employee's own time, and (1) that does not relate (a) directly to the business of the Company or (b) to the actual or demonstrably anticipated research or development of the Company, or (2) that does not result from any work performed... by Employee for the Company.
