Executive Good Reason. Means (i) Executive is removed as President and CEO or as assigned duties inconsistent with those typically assigned to a President and CEO without his consent, (ii) an actual decrease in the Base Salary and benefits, except for a decrease which is across the board and uniform (in amount and percentage) and less than 15% of such Base Salary or (iii) the failure of the Company to move its headquarters to a location mutually acceptable to Executive and the Board, if, after the second anniversary... of the date hereof, Executive requests that Company headquarters be moved.
