Executive Manager. : (a) each individual required to file reports pursuant to Section 16 of the Securities Exchange Act of 1934, as amended (the "Exchange Act") with respect to their equity holdings in SafeNet Holding Corporation; and (b) each other individual with respect to whom the Board Committee elects to exercise administrative authority under this Plan.
