Executive. Means Richard A. F. Dixon, Ph.D., an individual residing in Houston, Texas.

Means an employee who is considered part of a select group of management or highly compensated employees, including the President and including direct reports to the Chief Executive Officer of the Company and other key employees as from time to time may be designated by the Board.
