Existing Shares. Means the shares of Parent Common Stock that are held by the Stockholder as of the date hereof, as set forth opposite the Stockholder's name on Schedule 1 hereto together with any other shares or other voting capital stock of Parent and any shares or other voting capital stock of Parent issuable upon the conversion, exercise or exchange of securities that are convertible into or exercisable or exchangeable for shares or other voting capital stock of Parent, in each case, that the Stockholder... has or acquires Beneficial Ownership of on or after the date hereof. Existing Shares.
