Exit Financing Term Sheet

Exit Financing Term Sheet. Means the term sheet annexed hereto as Exhibit C as amended, modified or supplemented with the written consent of the First Lien Agent and the Majority Consenting First Lien Lenders for the purpose of providing operating capital and other financing for the Company's exit from the Chapter 11 Cases and for otherwise setting forth the indebtedness to be issued by the NewCo Entities to the Consenting First Lien Lenders. 4
