Expense Advance

Expense Advance. The Indemnitee shall qualify for such Expense Advances upon the execution and delivery to the Company of this Agreement which shall constitute an undertaking providing that the Indemnitee undertakes to repay such Expense Advances if and to the extent that it is ultimately determined by a court of competent jurisdiction in a final judgment, not subject to appeal, that Indemnitee is not entitled to be indemnified by the Company.

Expense Advance. Shall mean an advance of funds under a Promissory Note to pay Expenses, as reflected on a grid attached to such Promissory Note.

Expense Advance. Shall mean a payment to Indemnitee pursuant to Section 3 of Expenses in advance of the settlement of or final judgment in any action, suit, proceeding or alternative dispute resolution mechanism, hearing, inquiry or investigation which constitutes a Claim; provided, however, that Indemnittee shall have no right to any payment of Expense Advances in the event Indemnitee pleads guilty to willful misconduct.

Expense Advance. The advance by the Company of Expenses incurred by Indemnitee in any Proceeding, as such Expenses are incurred, and in advance of such Proceeding's final disposition

Expense Advance. Means a payment to Indemnitee of Expenses in advance of a Claim.

Expense Advance. Any payment of Expenses advanced to Indemnitee by the Indemnitor Group.

Expense Advance. Means any payment of Expenses paid for, reimbursed to or advanced to Indemnitee by the Company pursuant to Section 4 or Section 5 hereof.

Expense Advance. Any payment of Expenses advanced to Indemnitee by the Company.

Expense Advance. An advance payment of Expenses to Indemnitee pursuant to this Agreement.

Expense Advance. Means any advance payment of Expenses to Indemnitee under or pursuant to this Agreement or as otherwise permitted under Nevada law.
