Expenses. All expenses, including, without limitation, legal and professional fees and expenses, actually and reasonably incurred by Indemnitee

Expenses. Shall be broadly construed and shall include, without limitation, court costs, attorneys' fees, witness fees, fines, amounts paid in settlement or judgment and any other costs and expenses of any nature or kind incurred in connection with any proceeding.

All reasonable costs, expenses, fees, charges and obligations paid or incurred in connection with investigating, defending, being a witness in, participating in (including on appeal), or preparing to defend, be a witness in or participate in any Proceeding or establishing or enforcing a right to indemnification under this Agreement

Expenses. Shall include, without limitation, all direct and indirect costs including attorneys' fees and expenses, court costs, transcript costs, fees and expenses of experts, witness fees and expenses, fees and expenses of accountants, fees and expenses of public relations consultants and other advisors, travel expenses, printing and binding costs, telephone charges, delivery service fees, the premium, security for, and other costs relating to any bond (including cost bonds, appeal bonds, or their... equivalents), and all other disbursements or expenses of the types customarily incurred in connection with (i) the investigation, prosecution, defense, appeal or settlement of a Proceeding, (ii) serving as an actual or prospective witness, or preparing to be a witness in a Proceeding, or other participation in, or other preparation for, any Proceeding arising out of, or in any way related to, Indemnitee's Official Capacity, (iii) any voluntary or required interviews or depositions related to a Proceeding, (iv) responding to, or objecting to, a request to provide discovery in any Proceeding, and (v) any Permitted Action (as defined herein) brought against the Company by Indemnitee directly, or by means of impleader, cross-complaint, counterclaim or other proceeding.
