Expenses

Expenses. Includes, without limitation thereto, expenses of investigations, "Proceedings" or appeals, attorney, accountant and other professional fees and disbursements, any other expenses or disbursements incurred in connection with any Proceeding, and any expenses of establishing a right to indemnification under Section 11 of this Agreement, but shall not include amounts paid in settlement by the Indemnitee or the amount of judgments or fines against the Indemnitee.

Expenses. Shall include all actual and reasonable fees, costs and expenses, including without limitation, attorneys' fees, retainers, court costs, transcript costs, fees of experts, witness fees, travel expenses, duplicating costs, printing and binding costs, telephone charges, postage, delivery service fees, and all other disbursements or expenses of the types customarily incurred in connection with defending, preparing to defend, or investigating an action, suit or proceeding, whether civil, criminal,... administrative or investigative. Expenses. Means, to the extent actually and reasonably incurred by or on behalf of Indemnitee, attorneys' and experts' fees and expenses and all other costs and expenses in connection with investigating, defending, being a witness in or otherwise participating in (including on appeal), or preparing to investigate, defend, be a witness in or otherwise participate in (including on appeal), any Indemnifiable Claim or Standard of Conduct Determination (as defined in Section 5(b)).

Expenses. Reasonable attorneys' and experts' fees, expenses and other costs, witness fees, travel expenses, and all other disbursements or expenses in connection with investigating, defending, participating or preparing to defend or participate in any Claim. Expenses also include expenses incurred in connection with any appeal resulting from any Claim, including the premium for, security for, and other costs relating to, any cost bond, supersedeas bond or other appeal bond or its equivalent.

Means all costs and expenses incurred by the Company in connection with its performance of or compliance with its obligations under this Agreement, including (i) all registration, filing, listing, stock exchange and FINRA fees (including all fees and expenses of any "qualified independent underwriter" required by the rules of FINRA); (ii) all fees and expenses of complying with state securities or blue sky laws (including the reasonable fees, disbursements and other charges of counsel for the... underwriters in connection with blue sky filings); (iii) all word processing, duplicating and printing expenses, messenger, telephone and delivery expenses, all rating agency fees, the fees, disbursements and other charges of counsel for the Company and of its independent public accountants, including the expenses incurred in connection with "cold comfort" letters required by or incident to such performance and compliance; but excluding underwriting discounts and commissions and applicable transfer taxes, if any, in each case relating to the Registrable Securities sold by the Eligible Holders, which discounts, commissions and transfer taxes shall be borne by the Eligible Holders; and (iv) fees and expenses of one counsel for holders of Registrable Securities whose shares are included in a registration statement, which counsel shall be selected by the holders of a majority of the Registrable Securities (other than Registrable Securities held by a Sponsor Member or any of its Affiliates if the Company is Controlled by a Sponsor Member or any of its Affiliates at the time of such selection) included in such registration statement. Expenses. Expenses. Without limiting the Company's obligations under the Credit Agreement, the Company agrees to reimburse the Administrative Agent for its reasonable out-of-pocket expenses in connection with this Amendment, including the reasonable fees, charges and disbursements of Cravath, Swaine & Moore LLP, counsel for the Administrative Agent.

Expenses. Any reasonable expense, including without limitation, reasonable counsel fees incurred in connection with preparing for or defending against or serving as a witness in any Proceeding (including all appeals thereof). All such expenses shall be deemed ordinary and necessary to the Indemnitee's continued and effective service to the Company, and no such expense shall be considered an extraordinary payment.
