Expenses. Includes, without limitation thereto, expenses of investigations, "Proceedings" or appeals, attorney, accountant and other professional fees and disbursements, any other expenses or disbursements incurred in connection with any Proceeding, and any expenses of establishing a right to indemnification under Section 11 of this Agreement, but shall not include amounts paid in settlement by the Indemnitee or the amount of judgments or fines against the Indemnitee.
Expenses. Expenses. Means, to the extent actually and reasonably incurred by or on behalf of Indemnitee, attorneys' and experts' fees and expenses and all other costs and expenses in connection with investigating, defending, being a witness in or otherwise participating in (including on appeal), or preparing to investigate, defend, be a witness in or otherwise participate in (including on appeal), any Indemnifiable Claim or Standard of Conduct Determination (as defined in Section 5(b)).
Expenses. Expenses. Expenses. Any reasonable expense, including without limitation, reasonable counsel fees incurred in connection with preparing for or defending against or serving as a witness in any Proceeding (including all appeals thereof). All such expenses shall be deemed ordinary and necessary to the Indemnitee's continued and effective service to the Company, and no such expense shall be considered an extraordinary payment.
