Example Definitions of "Expenses"
Expenses. Shall mean expenses (including attorneys' fees and amounts paid in settlement by Indemnitee) which are actually and reasonably incurred by Indemnitee in connection with a Proceeding against Indemnitee; provided, however, the term "Expenses" shall not include amounts of judgments, fines, or penalties assessed against Indemnitee or incurred in relation thereto.
Expenses. Expenses.
