Means the date that is the earlier to occur of (i) the one hundred eighty (180) day anniversary of the Applicable Date (as defined in the Securities Purchase Agreement) and (ii) the eighteen (18) month anniversary of the Issuance Date or, if such date falls on a day other than a Business Day or on which trading does not take place on the Principal Market (a "HOLIDAY"), the next date that is not a Holiday.
