Fair Market Value or "FMV". The closing stock price per Share as reported on the principal stock exchange on which such Shares are listed on the last trading date before the Payment Date (or other applicable date), or as otherwise provided in the Plan

Fair Market Value or "FMV". Of a share of Common Stock as of a particular date shall mean a referenced share price that is an average taken over the five (5) trading days ending immediately prior to a notice of exercise, but in no event to exceed $15 per share.

Fair Market Value or "FMV". The foregoing notwithstanding, if Holder advises the Board of Directors in writing that Holder disagrees with such determination, then the Company and Holder shall promptly agree upon a reputable investment banking firm to undertake such valuation. If the valuation of such investment banking firm is greater than that determined by the board of directors, then all fees and expenses of such investment banking firm shall be paid by the Company. Fair Market Value or "FMV". The closing stock price for a Share on the business day that immediately precedes the Payment Date as reported on a national securities exchange if the Shares are then being traded on such an exchange or as determined by the Committee if Shares are not so traded.
